Terms of Use

1. Acceptance of these Terms

This agreement sets out the legally binding terms for your use of Inrolin's Platform and services. By registering for or otherwise using the Platform, you agree to be bound by this agreement. If you do not agree to these Terms, you must not use the Platform. We may modify this agreement from time to time; any modification takes effect once posted here, and your continued use of the Platform after that point means you accept the revised Terms — we recommend checking this page periodically.

Use of the Platform is not directed at children under 13. For users between 13 and 18, a parent or legal guardian is responsible for determining whether use of the Platform is appropriate. If you are using the Platform on behalf of your employer or another organization, you confirm you have full authority to bind that organization to these Terms — in that case, "you" and "user" below includes your organization. If you lack that authority, you must not use the Platform on the organization's behalf.

You confirm that all registration information you provide is accurate and truthful, and that your use of the Platform does not violate any applicable law. We may, at our discretion, decline to offer the Platform to any user or organization. These Terms are governed by the laws of the Republic of Azerbaijan — see Governing Law below.

2. About Inrolin

Inrolin is a corporate education marketplace that connects Employers seeking employee training with training Providers. We bring Employers and Providers together on one platform so they can find each other, agree on training, and deliver it, with the surrounding logistics — audience rosters, messaging, and payouts — handled by Inrolin. We aim to make sourcing and delivering corporate training simpler for both sides.

Inrolin's Platform includes:

• Training Requests — an Employer describes the training it needs and its intended audience;
• Proposals — Providers submit priced quotes against an open Request;
• Awards and trainings — an Employer awards a Proposal, creating a training for delivery;
• Course and instructor catalogues — Providers maintain the courses and instructors they offer;
• Messaging — Employers and Providers coordinate directly on an awarded or in-progress Request;
• Payouts — Providers are paid out for delivered trainings through the Platform.

Inrolin facilitates this process but is not itself a party to the training arrangement between an Employer and a Provider. We may add, change, or discontinue any part of the Platform at our discretion.

3. Accounts and Eligibility

When you are invited to register on the Platform, you will choose a password and may be asked for additional information such as your name and phone number. You are responsible for maintaining the confidentiality of your password and account, and for all activity that occurs under your account. You agree to (a) immediately notify us at info@inrolin.az of any unauthorized use of your account or any other breach of security, and (b) sign out of your account when using a shared or public device. You may not use another user's account without our prior authorization, and Inrolin is not liable for any loss or damage arising from your breach of this section.

You may deactivate your own account at any time by contacting us at the address above; doing so will delete your account and the personal data associated with it, subject to any records we are required to retain by law. We may also terminate your account, or disable your access, with written notice, if we reasonably believe you have breached these Terms, provided us with false or misleading information, or interfered with another user's use of the Platform.

The Platform is intended for business use and is not directed at individuals under 18.

4. Notifications

By providing us with your email address, you agree that we may use it to send you notifications about the Platform — for example, account invitations, password resets, and activity on your Requests, Proposals, or messages. We may also send occasional product updates. You can opt out of non-essential notifications using the unsubscribe option in those emails, or by contacting us at info@inrolin.az; opting out may mean you miss updates about activity on your account.

5. Fees and Payouts

Payment and payout terms for Employer and Provider accounts are set out in our Terms of Service.

6. Acceptable Use

Content and information on the Platform — other than content you upload yourself — is owned by Inrolin or licensed to Inrolin by third parties. You agree not to modify, copy, distribute, transmit, publish, create derivative works from, or resell any such content, software, or service obtained from the Platform. You also agree not to:

• Use the Platform for any unlawful purpose, or any commercial purpose outside what these Terms permit;
• Attempt to access accounts, data, or systems you are not authorized to access;
• Scrape, crawl, or use a bot, script, or similar automated tool against the Platform without our express written permission;
• Violate a robot-exclusion header, or otherwise circumvent a measure we use to limit access to the Platform;
• Deep-link to any part of the Platform without our express written permission;
• Reverse-engineer, decompile, or disassemble any software the Platform uses;
• Circumvent, disable, or interfere with a security feature or access restriction on the Platform, or impose an unreasonable load on our infrastructure;
• Upload content that is false, defamatory, or infringes another party's rights;
• Circumvent Inrolin to transact directly with a counterparty first introduced on the Platform, for training arranged during an active Request.

You are responsible for configuring your own equipment and software to access the Platform, and should use your own virus protection. You must not introduce viruses, worms, or other malicious or technologically harmful material to the Platform, attempt to gain unauthorized access to our systems, or attack the Platform with a denial-of-service attack. Doing so may constitute a criminal offense under applicable law; we will report any such breach to the relevant authorities and cooperate with them, and your right to use the Platform will end immediately.

7. License to Use the Platform

Inrolin grants you a personal, non-exclusive, non-transferable license to use the Platform for the sole purpose of accessing and using the services and functionality available through your account, in the manner permitted by these Terms.

You may not copy, modify, distribute, sell, or rent any part of the Platform or its underlying software, and you may not reverse-engineer or attempt to extract its source code, unless such a restriction is prohibited by law or we have given you written permission. You agree not to use the Platform in a negligent, fraudulent, or unlawful manner, and not to engage in any conduct that may damage Inrolin's image, interests, or rights, or those of other users.

We may terminate your access, with written notice, if we reasonably believe you have violated this section or interfered with another user's use of the Platform.

8. Copyright

Inrolin is the owner or licensee of all intellectual property rights in the Platform, and all materials on it — including names, logos, trademarks, images, text, graphics, and software — are protected by copyright, trademark, and other intellectual property rights owned by Inrolin or by third parties who have licensed their material to us. All such rights are reserved.

Platform materials are made available for your limited use in connection with your own account, as set out in these Terms. Except as specifically permitted here, no material may be copied, reproduced, republished, modified, sold, downloaded, or distributed for any other purpose, without our prior written permission. Any unauthorized attempt to modify Platform materials, to defeat or circumvent a security feature, or to use the Platform for any purpose other than its intended purpose is strictly prohibited.

Course materials, syllabi, and other content you upload remain your property; by uploading, you grant Inrolin a license to host and display that content as needed to operate the Platform.

9. Copyright Infringement

Inrolin respects the intellectual property of others and expects users to do the same. If you believe, in good faith, that material on the Platform infringes your copyright or other intellectual property rights, send a notice to info@inrolin.az including:

• Identification of the intellectual property right you believe is infringed, including any relevant registration number or a statement of ownership;
• The location of the allegedly infringing material, in enough detail for us to find it on the Platform;
• Your name, address, telephone number, and email address;
• A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law;
• A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf;
• An electronic or physical signature of the copyright owner or their authorized representative.

10. Rules About Linking to the Platform

You may link to the Platform's homepage, provided you do so fairly and legally, in a way that does not damage or take advantage of Inrolin's reputation. You must not create a link that suggests any association, approval, or endorsement by Inrolin where none exists, and you must not link to the Platform from a website you do not own. The Platform must not be framed on any other site, and we reserve the right to withdraw linking permission at any time, without notice.

11. Personal Information

Any personal information you provide in connection with your use of the Platform is handled in accordance with our Privacy Policy.

12. Confidentiality

Information exchanged through the Platform in connection with a Request or Proposal — including pricing, employee data, and business documents — should be treated as confidential by both parties and used only for evaluating and delivering that engagement.

13. Third-Party Services

The Platform relies on third-party services (for example, email delivery and file storage providers) to operate. Inrolin is not responsible for outages or failures originating from third-party services outside our control.

14. Electronic Communications

Inrolin is not liable for failed, partial, or garbled electronic transmissions, for any breakdown, failure, connectivity, or availability issue affecting computer, telephone, network, or internet hardware or software, for the acts or omissions of any user, for the accessibility or availability of the internet, for traffic congestion, or for any unauthorized human act, including any error or mistake, that disrupts your use of the Platform.

15. Disclaimers

Due to the nature of the internet, Inrolin provides and maintains the Platform on an "as is," "as available" basis and does not promise that use of the Platform will be uninterrupted or error-free. We are not liable to you if we are unable to provide the Platform for any reason beyond our reasonable control.

By using the Platform, you accept personal responsibility for the outcomes of the training you source or deliver through it. Inrolin does not guarantee any particular result, business outcome, or level of employee performance from training arranged on the Platform — an Employer's or Employee's ultimate results will depend on the Provider chosen, the effort put in, and other circumstances beyond Inrolin's control. Inrolin does not guarantee the quality, accuracy, or outcomes of training delivered by Providers, and is not responsible for the conduct of any Employer, Provider, or Employee.

The Platform may occasionally link to third-party websites or resources that are not under our control. These links are provided for convenience only, are not an endorsement by Inrolin, and we are not responsible for their content.

Except as set out in these Terms, we do not give any other warranty, condition, or term, express or implied, and all such terms are excluded to the fullest extent permitted by law. This disclaimer does not affect your statutory rights, and we do not exclude or limit our liability where it would be unlawful to do so.

16. Limitation of Liability

To the fullest extent permitted by law, Inrolin's liability arising from your use of the Platform is limited to direct damages, and Inrolin is not liable, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for indirect or consequential loss, including without limitation:

• Use of or reliance on any content displayed on the Platform;
• Any incorrect or inaccurate information on the Platform;
• Infringement of a third party's intellectual property rights caused by your use of the Platform;
• Loss or damage resulting from your inability to use the Platform, or from unauthorized access to or alteration of your data in circumstances beyond our control;
• Loss of profits, anticipated savings, business opportunity, goodwill, or reputation, or business interruption not arising directly from something we have done wrong;
• Loss or damage from viruses or other malicious software affecting your equipment, caused by your use of the Platform or by content received from Inrolin.

You are liable for any breach of these Terms by you, and if your use of the Platform breaches these Terms, you will reimburse Inrolin for any loss or damage this causes us. Inrolin is not liable for any failure to perform its obligations caused by an event beyond its reasonable control, including internet or communications outages, fire, flood, war, or similar events.

17. Indemnification

You agree to indemnify Inrolin against claims, losses, and expenses arising from your breach of these Terms or your misuse of the Platform.

18. Termination

We may terminate an account that violates these Terms or poses a risk to the Platform or other users. We may also terminate our agreement with you under these Terms at any time, by notifying you in writing (including by email). You may stop using the Platform at any time; provisions that by their nature should survive termination (including confidentiality and limitation of liability) will continue to apply.

19. Changes to these Terms

We may change the Platform and these Terms at any time, at our discretion. You are responsible for keeping yourself informed of the current Terms. Material changes will be reflected by an updated "Last updated" date above, and continued use of the Platform after changes take effect constitutes acceptance of the revised Terms, which supersede all previous versions unless otherwise specified. If we change commission rates or other fees, we will notify affected users of the change before it takes effect.

20. Disputes

These Terms, their subject matter, and their formation are governed by the laws of the Republic of Azerbaijan, without regard to its conflict-of-law principles.

If a dispute arises from these Terms or your use of the Platform, the parties will first attempt to resolve it through negotiation. You can reach us at info@inrolin.az to start this process. If the dispute is not resolved through negotiation within 30 days, it will be submitted to the competent courts of the Republic of Azerbaijan.

21. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices we post on the Platform, constitute the entire agreement between you and Inrolin and govern your use of the Platform. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.
